Governance Structure Review and Reorganization

Client: Foreign Banking Organization

Engagement Period: 3 Months

Background

The client, a foreign banking organization, recognizing the critical importance of their US operations and the need to realign their organizational governance structure, engaged us to align the organizational structure with their goals and strategies, improve efficiency and effectiveness, and empower employees and promote collaboration.

Approach

We worked closely with the senior executives to understand their needs. We met with key stakeholders, including board members, senior executives, and department heads, and conducted thorough interviews to understand the current organizational structure, US operations, and business strategy and goals. We also reviewed relevant documents to enhance our understanding of the client’s business, operations, and associated risks. We shared our experience with the client to illustrate regulators' expectations, industry standards, and peer bank practices.

Outcome

We successfully presented and recommended ways to improve their organizational structure. This involved restructuring committees, reshaping executive roles and responsibilities, and realigning departments and functions. Our recommendations resulted in a better organizational structure, with clearly defined roles for committees and executive management, eliminated high-risk segregation of duties, and empowered middle managers to be more effective and efficient in their daily work.
